Filings reflected through · About 1 min for the overview
Synaptics’ revenue recovery has not yet restored GAAP operating profitability. Fiscal 2026 revenue reached $1,197.2 million, led by Core IoT, while the operating loss narrowed to $67.1 million. The much larger $490.8 million net loss primarily reflected a noncash deferred-tax valuation allowance, not an equivalent cash outflow. Operating cash flow remained positive, but working capital absorbed cash and combined cash and short-term investments declined. Acquired wireless technologies support expansion beyond touch interfaces, although incomplete deliveries and recurring project impairments show execution risk. After the annual filing, onsemi’s proposed acquisition changed from stock consideration to conditional cash consideration of $123 per eligible share. Closing was not established. Concurrent finance-leadership transitions concentrate responsibilities while the transaction remains pending.
A broader connectivity and processing business, with substantial development costs
Synaptics combines sensing, processing and connectivity in chips, firmware and software designed into customers’ devices. Core IoT includes wireless products and processors; Enterprise and Automotive includes PC interfaces, video and automotive solutions; Mobile includes phone touch and display products. These are revenue categories within one semiconductor reporting segment, not independently measured profit centers. Outsourced manufacturing reduces factory investment, but engineering remains expensive: fiscal 2026 R&D was $381.8 million. Design wins do not guarantee orders, and customers generally make no long-term volume commitments.
Core IoT leads the recovery, but operating losses persist
Fiscal 2026 revenue rose a reported 11.4% to $1,197.2 million. Core IoT reached $389.7 million, supported by shipments, product mix and the Broadcom acquisition; its reported 43.1% growth is not an organic-growth measure. Enterprise and Automotive reached $641.1 million, helped by units, mix and licensing, while Mobile fell to $166.4 million as average prices and licensing revenue declined. Gross margin stayed at 44.7%. Higher gross profit and lower restructuring and impairment charges narrowed the operating loss to $67.1 million, despite rising development, compensation and merger-related costs.
Net earnings tell a different story because taxes dominate the comparison. Fiscal 2024’s $125.6 million net income depended on a large deferred-tax benefit despite an operating loss. Fiscal 2025 produced a $47.8 million net loss. Fiscal 2026’s loss widened to $490.8 million principally because $425.3 million of noncash tax expense established a full valuation allowance against U.S. federal deferred-tax assets. Pretax performance actually improved. The allowance was not a cash payment, but it signals uncertainty about generating sufficient taxable income to realize those benefits.
Positive operating cash flow does not mean liquidity expanded
Fiscal 2026 operating cash flow was $149.4 million, supported by noncash expense addbacks but reduced by $88.1 million of operating-asset and liability outflows. Receivables and inventory both increased. Cash rose to $442.5 million, yet $61.0 million of short-term investments matured without reinvestment: combined cash and investments declined from $452.5 million to $442.5 million. Property-and-equipment purchases used $48.0 million, repurchases $92.7 million and equity-award payroll taxes $48.4 million. These cash uses explain why positive operating cash flow did not translate into a larger combined liquid-asset pool.
Lower interest expense comes with convertible settlement exposure
Debt principal was $850.0 million at June 27, 2026, compared with $837.3 million carrying debt after issuance costs. The separate $350.0 million revolver was undrawn, not cash. Synaptics reported covenant compliance without quantifying headroom. Refinancing the floating-rate term loan reduced interest expense, partly offset by lower investment income. Convertible notes became eligible for conversion during the quarter ending September 30, 2026, causing current classification without changing their December 2031 maturity or establishing an actual settlement. The governing indenture permits cash or combination settlement, not an all-share election.
After the annual filing: a conditional cash merger and finance-team turnover
The October 1, 2026 amended onsemi agreement replaced the June stock-merger agreement with $123 cash consideration per eligible share, payable only upon completion. Synaptics reported HSR approval and no financing condition, but other regulatory authorizations, stockholder approval and contractual conditions remained. Neither funding nor closing was established. Separately, CFO Ken Rizvi resigned effective August 20; CEO Rahul Patel assumed principal financial officer responsibilities through merger closing, with no successor CFO search then planned. The October 15 filing announced Esther Song’s accounting-officer departure and Kermit Nolan’s succession effective October 28. Subsequent implementation is not independently confirmed. These changes create continuity and responsibility-concentration risks, not evidence of accounting misconduct.
