Availability and service drive a working-capital-intensive business
GPC competes by keeping parts available, providing technical support and delivering quickly to reduce vehicle and equipment downtime. Automotive accounts for approximately 63% of revenue and Industrial 37%. About 80% of automotive sales serve professional repair customers. Its network exceeds 10,800 locations, including independent outlets—not just company-owned stores. Inventory, supplier rebates and payment terms are central to its economics; ten suppliers supplied approximately 55% of 2025 U.S. Automotive purchases.
Automotive was split into North America and International reporting segments at December 31, 2025, with prior segment figures recast and no change to consolidated results. Segment EBITDA excludes central costs and other expenses, so it is not fully burdened standalone-company profit. Comparable sales adjust for business days and exclude acquisitions, currency and other effects, but include sales into independent stores; they are neither a unit-volume measure nor necessarily end-customer sell-through.

Better cash flow depends materially on receivables funding
Nine-month operating cash flow increased to $816.647 million from $510.689 million. Approximately $250 million came from expanded receivables sales, accounting for most of the improvement rather than representing additional profit. After $314.476 million of capital expenditure, company-defined free cash flow was $502.171 million. Dividends paid consumed $434.446 million and acquisitions another $69.450 million; net debt proceeds also supported capital uses.
Receivables sold and outstanding were $1.25 billion at September 30. The arrangement matures January 8, 2027, retains specified repurchase obligations and is not assured to renew. Supplier-finance obligations of $3.195 billion are already included in trade payables—not additional cash or an amount to add again to liabilities. The annual and interim filings disagree on the December 2025 supplier-finance comparison, so no reconciled trend is asserted.

Borrowing availability is not cash
September cash was $763.151 million against approximately $5.1 billion of direct debt. Reported liquidity of $2.4 billion includes roughly $1.6 billion of revolving borrowing availability. Both April term facilities were fully drawn by September, totaling $1 billion and maturing October 28, 2027; the revolver matures March 20, 2030. GPC reported covenant compliance at September 30, but numerical headroom and complete borrowing restrictions are not established by the supplied originals. Uncured defaults can trigger cross-defaults. Approximately $484 million of independent-store borrowings were separately guaranteed, and pension-surplus investments are not unrestricted cash.
The August 11 declaration set a $1.0625 quarterly dividend payable October 2 to September 4 holders. It establishes the declaration and scheduled payment—not confirmation of that payment after the September reporting period.

Separation, supplier exposure and legacy claims remain open
The separation announced February 17 remains targeted for first-quarter 2027, subject to approvals and other conditions. Final capital structures, liability allocations, tax qualification and realized benefits are not established; current accounts still consolidate both businesses. Court Carruthers became CEO-Elect on September 8, with CEO succession conditional on closing. Failure to consummate is a disclosed Good Reason severance trigger, not a quantified automatic payout; the separation itself is not a triggering event.
First Brands' September 2025 bankruptcy produced a $150.500 million credit-loss charge on supplier rebates and other receivables; neither recovery nor elimination of supply exposure is established. September 2026 asbestos exposure included 3,741 pending lawsuits, a $281 million discounted liability and only $34 million of estimated insurance recoveries. A lower reserve does not mean claims disappeared. Tariffs, supplier concentration and fuel and freight inflation remain operating risks.
Separately, the March 20 filing described information and digital chief Naveen Krishna's March 18 resignation notice as voluntary, without severance, with responsibilities to be redistributed. It did not establish a cybersecurity incident or confirm completion of the announced transition.
