Stores generate sales—and support digital advertising
At August 15, 2026, Kroger operated approximately 2,688 supermarkets, including 2,248 with pharmacies and 1,740 with fuel centers, plus 33 food-production plants. Domestic retail is its only reportable segment. Our Brands generated more than $39 billion of fiscal-2025 sales. Shopping traffic and loyalty data also support higher-margin advertising, helping fund customer value and investment.
Second-quarter eCommerce sales grew 14%, or 20% after excluding specified fulfillment-market exits, Vitacost and discontinued Ship Marketplace operations. Kroger says eCommerce was profitable, but that measure includes third-party media revenue; it does not establish profitable delivery on its own. Standalone digital profit and delivery margins are undisclosed.

Investment and distributions draw down cash
For the 28 weeks ended August 15, operating cash flow fell to $3.085 billion from $3.688 billion despite higher GAAP earnings. Inventory and receivable uses outweighed support from applying a prior-year tax overpayment to current payments. Property-and-equipment cash spending, including lease buyouts, rose to $2.437 billion from $1.968 billion. Treasury-stock purchases used $1.271 billion and dividends $431 million; cash and temporary investments fell from $3.334 billion at January 31 to $1.676 billion.
Fiscal-2025 fulfillment charges of $2.497 billion were not entirely noncash: they included approximately $350 million paid to Ocado for closures and cancellation. Ocado finance-lease liabilities still totaled $585 million at year-end despite the asset write-down. Disclosed contractual schedules exclude unordered fulfillment-center commitments, so neither the impairment nor those schedules establishes that remaining obligations are exhausted.

Refinancing is distinct from new spending capacity
August 15 debt including finance leases was $16.997 billion; operating leases are separate. The $2.75 billion revolver was undrawn, with $4 million of letters of credit reducing availability and reported covenant compliance. It is conditional borrowing capacity, not cash. Neither unrestricted access nor current covenant headroom is established.
The October 5 filing describes $650 million of 5.800% notes due February 15, 2032 and $850 million of 6.200% notes due November 1, 2036. The September 28 prospectus supplement, filed September 29, estimates approximately $1.49 billion of net proceeds for October maturities and general purposes. Executed issuance documentation does not establish receipt of settlement proceeds or completed repayments. An October consolidated debt balance—and dedicated Giant Eagle funding—cannot be inferred.

Growth plans remain conditional
On October 20, Kroger reaffirmed September's fiscal-2026 guidance: identical nonfuel sales growth of 0.2%–0.8%, reduced from 1.0%–2.0%, and adjusted EPS of $5.10–$5.30. It retained adjusted FIFO operating profit of $5.0–$5.2 billion, free cash flow of $2.7–$2.9 billion and capex of $3.8–$4.0 billion. The free-cash-flow formula and full forward GAAP reconciliations are unavailable. New targets envisage approximately 3% comparable-sales growth in 2029 excluding fuel and pharmacy, plus fiscal-2027–2029 adjusted EBITDA CAGR of 3%–6% and adjusted net EPS CAGR of 7%–11%. These are goals, not achieved results or shareholder-return promises.
Those targets exclude pending Giant Eagle. Announced July 1, the approximately $1.65 billion transaction comprises $1.25 billion cash and approximately $400 million described as assumed indebtedness in the later 10-Q. Expected fiscal-2027 closing remains subject to regulatory and other conditions, with limited divestitures anticipated. Private financing, adjustment and termination terms are not established. Separately, Albertsons contests the terminated merger and seeks a $600 million fee plus additional damages; Kroger denies liability. October 19 was a scheduled trial date, not evidence of proceedings or resolution. Opioid accruals were $133 million current and $845 million long-term at August 15, with additional claims and no estimable ultimate loss range. Labor, pharmacy reimbursement, competition and cyber risks also remain material. Management also disclosed Cyclospora-related sales disruption; the supplied originals do not establish responsibility, resolution or continuing effects.
